Ultrasound System Service
and Preventive Maintenance Contract
Western Diagnostics agrees to furnish service, parts,
and technical support when necessary to:

under the following terms and conditions.
I. Terms and Conditions
a. Preventive Maintenance
Western Diagnostics will provide preventive maintenance inspections, at intervals
specified in the option selected, of all equipment listed on Attachment of
this contract.
b. Emergency Service
Western Diagnostics will respond to your request for service/technical support
within one (1) hour of receipt of call. The customer will be billed according
to the following time/charge schedule:
7:00 am – 6:00 pm PST Monday through Saturday
at no charge
After 6:00 pm Monday through Saturday at $50/hour
Sunday or any regular holiday at $100/hour
c. Prerequisite
Prior to the initial contract period, Western Diagnostics will inspect the
equipment covered in this contract. If during this inspection defective parts
are found, parts will be billed to the customer at “preferred customer” discount
price.
d. Warranty
Equipment under warranty on the effective date of this contract will continue
under warranty for the specified warranty period. The balance of the contract
period will be prorated on the contract price.
e. Additions
Equipment added during the term of this contract will be prorated for the balance
of this contract.
General Conditions
1. Inspections will be performed by prior appointment to insure instrument
availability.
2. Accessory repairs or replacements are not covered
under this contract and will be invoiced separately to
the customer. Accessories specifically excluded from,
but not limited to, this contract includes external transducer
cables, Honeywell strip chart recorders, bed pads, and
ECG electrodes.
3. Service calls made necessary due to unauthorized
modifications or unwarranted calls, or problems with
ancillary equipment attached to the system that is not
covered under this contract, will be charged at our “preferred
customer” labor rate and will be billed separately
to the customer.
4. This agreement shall not apply to any repairs made
necessary by accident, misuse, abuse, theft, fire or
water damage, power surges, or to repairs and made necessary
by service performed by personnel other than other authorized
Western Diagnostics service representative.
5. Western Diagnostics shall be responsible for the
repair, recalibration, or replacement of any equipment
rendered unserviceable to the customer solely as the
result of negligent or wrongful act by Western Diagnostics
personnel in conduction service operations. In no event
shall Western Diagnostics be responsible or liable to
the customer, or any representative of the customer,
in excess of its obligation to repair, recalibrate, or
replace the equipment serviced under this contract. The
determination of repair or replacement will be at the
discretion of Western Diagnostics.
6. During the term of this contract, the customer’s
equipment will be modified, at the discretion of Western
Diagnostics, for subsequent circuit improvements when
electrically and physically practical, at no charge for
labor and parts.
II. Termination
Western Diagnostics may terminate this contract upon rendering 30 days written
notice to the customer in the event:
a. That the customer fails to make payment of any invoice within 30 days after
the date of such invoice; or,
b. That the customer in any other manner is in default of the provisions of
this contract.
The customer may terminate this contract by rendering
30 days written notice to Western Diagnostics.
Options (Please select option desired for Attachment #1)
Option A (Full service, and Parts)
Western Diagnostics will provide three preventive maintenance calls at four
(4) month intervals. Western Diagnostics will repair or provide replacement
parts on equipment covered under this contract at no cost to the customer and
will make available, whenever possible, loaner equipment at no charge to minimize
downtime.
The total amount of this contract varies according to
the payment schedule you prefer.

Option B (Parts Only)
Western Diagnostics will repair or provide replacement parts on equipment covered
under this contract at no cost to the customer and will make available, whenever
possible, loaner equipment at no charge to minimize down-time.

Option C (Probes Only)
Western Diagnostics will repair or replace up to probes on equipment covered
under this contract at no cost to the customer and will make available, whenever
possible, loaners at no charge to minimize down-time.

Option D (PPM/Q.A. Only)
Western Diagnostics will provide three preventive maintenance/quality assurance
calls at four (4) month intervals. If during this preventive maintenance defective

price.
